AGREEMENT OF TERMS AND CONDITIONS

This Agreement, by and between you, the Applicant, hereinafter referred to as “Applicant” and
BPMC: Back Porch Mail Center, LLC, hereinafter referred to as “BPMC”, shall be governed by these
terms and conditions to which each party agrees:

Use of Mailbox Rental

By acknowledging having read this form, by completing an application, and/or by completing
United States Postal Service® Application for Delivery of Mail Through Agent, Form 1583, a copy
of which will be made available to the U.S. Postal Service “USPS”, Applicant appoints BPMC as
agent for the receipt of mail and packages for a period not to exceed that for which rent had
been paid in advance. Access to Applicant’s Private Mailbox “PMB” and its contents will be
provided during business hours posted by BPMC. Should Applicant appoint another person or
organization to collect mail and/or packages from BPMC premises, Applicant shall be responsible
for the conduct of such person or organization. BPMC shall assume that possession of a PMB key
is evidence of authority to collect mail and or packages.

1. Applicant understands that the relationship of the parties hereto is one of bailment (the act
of delivering goods without transfer of ownership) and not landlord and tenant.

 2. Applicant agrees to use BPMC services in accordance with its rules and in compliance with all
USPS regulations, as well as local, state and federal statutes and regulations. Failure to do
so may result in cancellation of service without notice and without refund.

 3. Applicant agrees to protect, indemnify and hold harmless BPMC from and against all claims,
demands and causes of action of any nature whatsoever relative to use of BPMC facilities or
services. Any expense BPMC incurred in a defense against same shall be reimbursed by
Applicant.

 4. If a key is loaned to Applicant, it remains the property of BPMC and shall not be duplicated or
modified by Applicant

Confidentiality of Applicant’s Information

All information provided by Applicant on the application, on USPS Form 1583, and on BPMC’s
website, www.backporchmailcenter.com, is confidential and will not knowingly be disclosed to
anyone without Applicant’s prior consent, except for requests made by law enforcement officials
or USPS officials in which case BPMC intends to cooperate fully. BPMC Management will provide
User information and all information pertaining to incoming and outgoing packages and
correspondence relating to any given PMB if so mandated and if BPMC deems useful to said
officials.

Definitions

Registered User: Once an Applicant has finished the rental application process and payment has
been received by BPMC, Applicant now becomes a PMB Registered User.
Main User: The Main User is the primary Applicant that rented a PMB. This person has full use
of the PMB including package and mail receiving, adding and removing Additional Users, CC’s, and Pick Up persons from the Customer Portal, giving instructions to BPMC staff regarding the
rented PMB and its contents.


Additional User: Persons who have full PMB privileges except the adding and deleting of Users.

 Confidential Contact (CC): Person that has administrative privileges regarding PMB. Can
communicate on behalf of the Users for inquiries and authorization. Should not receive package
in his or her name. Additional charges may apply. Some examples include a spouse, children,
personal assistant, secretary, etc.

 Pick Up Only (PU): Person permanently authorized to retrieve packages from BPMC warehouse.
Cannot give orders or instructions regarding PMB, cannot inquire regarding the PMB status, nor
receive packages in his or her name without penalty.

 Non-Registered User: A person that has used a client’s PMB but BPMC does not have their name
registered in BPMC system to use BPMC services.

 TPU: Person temporarily authorized to pick up packages. Authorization lasts 2 weeks only.

 NR: Those packages that arrive to a Non-Registered User and are assigned to a PMB

 NA: Packages that arrive without a designated PMB number assigned to it.

 LEFT: Packages that have been delivered to User or User’s representative but are returned to
BPMC warehouse for storage.

Correct Use of Address by Applicant

1. The correct address to be used by Applicant is as follows:

2. Applicant shall use the designation “# ________ “or “PMB ________” as part of his or her
address. “PO Box” is NOT an acceptable designation.
• United States Postal Service®, provides BPMC with the service of the delivery
of mail and packages. BPMC is considered a Private mailbox service and is not
directly affiliated with USPS. PO Box stands for Post Office Box and is a service
provided by USPS directly.

3. Applicant is responsible for notifying correspondents and suppliers of the above address and
the importance of the use of the PMB number on the mailing/shipping address.

4. Mail and packages must be received in the names of the Registered Users only. A Registered
User is someone who has acknowledged this Agreement of Terms and Conditions, has
completed USPS Form 1583, and has 2 identifications on file with BPMC within the first 30
days of assignment of Applicant’s PMB number and has made full payment for the use of
BPMC services.

5. Failure to provide BPMC with the complete documentation will result in Applicant being
classified as a Non-Register User for billing purposes.

6. Each PMB has a limited number of Registered Users. Mail and/or packages accepted for more
than the given limited number of Users will incur an additional charge. If Applicant
consistently receives substantially more mail than can be placed in a single PMB, BPMC
reserves the right to require Applicant to rent a larger size PMB, charge for a larger size PMB,
charge an additional service charge for mail holding or rent one or more additional boxes.


7. Applicant may register a company name to the PMB.


8. Applicant may register an additional company and/or additional persons beyond the stated
limit number of users for an additional fee.


9. If Applicant loans the address of his or her PMB to be used by a third party, items must arrive
in Applicant’s or a Registered Users’ name or have an and/or designation.

10. If merchandise arrives in the name of a Non-Registered individual, a $5.00 charge per package
is applied.

11. Applicant must correctly use the PMB NUMBER when providing the address for the receipt of
all mail and/or packages.

12. BPMC is not responsible for mail or packages arriving without a PMB.

13. BPMC is not responsible for mail or packages arriving to an incorrectly assigned PMB because
of Applicant or remitter error. BPMC will only aid in the retrieval of such mail or packages;
however, BPMC is not responsible for said package should retrieval be deemed unsuccessful.
An additional fee may apply.

14. BPMC is not responsible for assigning packages that arrive without a PMB number to an
Applicant’s PMB. Applicant must provide BPMC with a complete tracking number or exact
content of the mail or packages that arrived with an incomplete delivery address in order to
assign to the items to the proper PMB.

15. Packages that arrive without a designated PMB will incur an additional charge of $2.00 or
$5.00 per package.

Rental Fees and Terms of Service

1. BPMC prorates its mailbox rental fees.
2. BPMC charges a $12 registration fee per PMB.
3. All BPMC mailbox rental fees are due and must be paid in advance, on or before the final day
of the expiration month.
4. Applicant is responsible for knowing the expiration date of his or her PMB.
• Applicant’s expiration date is available on the Customer Portal.
• No additional rent notice will be required of BPMC.
5. A $10.00 late fee is assessed if rent is paid after the 5th of the month following the expiration
date.
6. Failure to pay such fees when due may result in disruption or cancellation of services.
7. BPMC will not provide refunds in the event Applicant cancels service prior to the agreed upon
expiration date.

Disruption of Service

In the event BPMC commits or fails to commit any act which results in disruption of service to
Applicant, and Applicant thereby suffers a loss, BPMC’s liability shall be limited to not more than
the rental fees paid by Applicant for service not yet received. BPMC shall not be liable for
incidental or consequential damages.

In the event disruption of service to Applicant has occurred because of a third party and through
no fault of BPMC, BPMC will not be held liable for any damages.

Limited Liability

It is the responsibility of the BPMC client to inform BPMC staff of any item that the User considers
to be High Value or Perishable to insure added care. BPMC’s liability for a lost package is no
greater than $100.00 per package. In the event of a natural disaster or theft by a non-related
party, BPMC is liable up to $100 per packages.
1. BPMC is not responsible for loss or damage caused by a representative of the User.
2. BPMC is not responsible for loss or damage caused by a third party.
3. BPMC is not responsible for loss of an item that has been left outside of our facility without
being directly delivered to a BPMC staff member yet is technically considered delivered by the
third party. (i.e.: Sam’s Club, Target, Walmart, etc.)
4. BPMC is not responsible for loss or damage due hidden damage of a package.
5. BPMC is not responsible for loss or damage of perishable items without having prior
notification.
6. BPMC is not responsible for loss or damage causing leakage to a package due to hidden
damage.

Receipt of Mail and Packages

1. BPMC is not engaged in the inbound or outbound delivery of mail and parcels, and cannot be
responsible for the failure of USPS, UPS, FedEx, DHL or other couriers or freight companies
to deliver mail or parcels on time, or to deliver them in undamaged condition.

2. BPMC is not responsible for hidden damage to Applicant’s merchandise. Hidden damage is
considered damage to an item with no visible signs of damage to the outside container of the
merchandise.

3. BPMC’s policy is to receive packages that appear to be open (i.e.: tape lost its adherence or
package opened in transit). BPMC staff will report the open condition to the courier and make
the indication on the Customer Portal. In most circumstances, a picture will be uploaded to
the Portal. If requested by Applicant, an inventory of the package can be performed for
possible shortage. Should obvious damage occur to an item, the Applicant will be notified of
the condition of the arriving package. It is then the Applicants responsibility to notify its
supplier of the shortage and or damage.

4. BPMC reserves the right to refuse any merchandise arriving by freight or courier that is
deemed unsalvageable. BPMC will notify Applicant if any item has been refused and for what
reason.

5. BPMC reserves the right to give a package to a Courier if so requested by way of a Call Tag,
or because of other circumstances such as lack of duties payment, CBP request or other
means without the authorization of Applicant.
• BPMC will notify the Applicant of this occurrence.

6. Per USPS regulations, all certified, registered, insured, or C.O.D. mail or parcels will be
accepted by BPMC as agent for Applicant.

7. Full payment of C.O.D. shipments, duties collect, or freight collect shipments must be made
to BPMC prior to the acceptance of C.O.D. package.

8. It is Applicants responsibility to make funds available to BPMC prior to receipt of said package.
• If requested, BPMC will pay said funds; however, an additional service charge
will apply for this service.
• Payment must be made prior to retrieval of the collect package.

9. BPMC is not responsible for the return to sender of any C.O.D. package because of lack of
payment.

10. BPMC will pay any postage due package up to $20 without prior notification to Applicant.
• Applicant agrees to reimburse the payment of any item arriving postage due
to the Applicant or the Applicant’s PMB up to $20 without prior notification. An
additional service charge will apply.

11. Applicant is responsible for notifying BPMC if special care is required for any incoming
packages. Should an item require refrigeration, placement in a safe, watering, etc. it is the
sole responsibility of the Applicant to notify BPMC 24 hours prior to the arrival of such items.
An additional service charge will apply.

12. BPMC will perform the requested service with utmost care, however, it is Applicants
responsibility to retrieve Special Care items quickly.

Charges for Receipt of Packages

1. BPMC charges $3.00 per package received at its location. A package is any parcel delivered
by a common carrier such as USPS, UPS, FedEx, LSO, DHL, and some local deliveries.
2. If a shipment arrives in multiple packages, a $3.00 charge will be assessed per package and
not per shipment. If your supplier outsourced your order from several locations, each package
that arrives will incur a $3.00 charge even though Applicant made only one order.
3. BPMC charges extra for packages that come in non-standard containers. All packages must
be contained in corrugated carton or small shipping bags that do not exceed 1 cubic foot,
otherwise the packaging is considered non-standard. Some examples include a loose tire, a
rug or other items wrapped only in plastic.
4. If a package remains in BPMC warehouse for six months or longer, BPMC reserves the right
to add an additional storage charge at a rate of $2.00 extra per standard package per month
after the sixth month.
5. BPMC charges a Heavy Weight Package Charge of $.10 per pound for any package weighing
over 100 pounds.
6. BPMC charges an Oversized Package Charge for any package whose length exceeds 108
inches, and length and girth combine exceeds 165 inches at $.10 per pound or volumetric
pound.

Charges for Receipt of Merchandise by Freight Company

A freight company is a transportation company that is dedicated to moving an item or a pallet
of merchandise normally weighing over 150 pounds and exceeds the volume of packages that
a door-to-door courier transporst.
1. BPMC charges $10 for receipt of a pallet or merchandise delivered by a freight company and
an additional Oversized Package fee of $.10 per pound or $.10 per pound of volumetric
weight–whichever is higher.
2. An additional storage charges will be assessed on Pallets or Freight items that remain in BPMC
warehouse over two months.
3. Should a Freight company deliver merchandise to BPMC in error, a handling fee will be
charged prior to pick up of merchandise delivered in error.
4. BPMC charges $50/week + tax for the receipt of any non-commercial use vehicle.

Retrieval of Mail, Packages, and Pallets from BPMC Warehouses

1. Registered Users, Confidential Contacts, and Authorized Pick Up Persons are allowed to
retrieve mail or packages from BPMC warehouse. No additional authorization is required.
2. Applicant must ALWAYS authorize the delivery of mail or parcel to a non-registered
representative or non-registered family member before retrieving any mail or packages from
BPMC premises.
• Authorizations may be made by email, through the Customer Portal or by
telephone.
3. All Registered Users are authorized to retrieve any and all packages and mail from their PMB.
4. Packages are available for pick up during regular business hours as posted on BPMC website
and or storefront.
5. Pallets are available for pick up from opening to one hour prior to closing of regular business
hours as posted on BPMC website or storefront.
6. Once BPMC has placed Applicant’s mail in the assigned PMB, the mail shall be deemed to have
been delivered to Applicant, and BPMC shall not be responsible for loss, theft or damage
thereto.
7. BPMC staff will state the number of packages being delivered to PMB User or representative.
8. It is the User’s responsibility to count and verify the delivered packages before signing for the
packages as delivered.
9. It is the responsibility of the PMB Users in a shared PMB to communicate with each other their
desire to retrieve their own packages or the desire for any packages to remain in BPMC
warehouse.
10. BPMC is not responsible for merchandise taken by another User of the same PMB.
11. BPMC’s duty and responsibility is the delivery of mail and packages to Registered Users of
said PMB.
12. Once merchandise has been delivered to Applicant or his or her representative, and Applicant
has signed for packages, BPMC is no longer responsible for that merchandise.
13. Once merchandise has been delivered, Applicant can still return merchandise to BPMC
warehouse for storage.

Storage of Packages

1. BPMC allows Users to bring in packages to be stored in BPMC warehouses.
• These packages are called LOCAL packages.
• These packages incur a Receipt of Package Charge.
2. BPMC allows Users to store packages that were received at BPMC and delivered to User or
Users representative.
• Once opened and returned to BPMC warehouses, these packages are called LEFT
packages.
• LEFT packages must be returned to a BPMC staff member for storage after
packages have been delivered to User or representative but have not left the
building.
• BPMC is not responsible for the content in the LEFT packages.
• If User retrieves a used carton from the garbage to use for storage, it is the Users
responsibility to remove all labels and markings that may identify the package as
belonging to someone else.
• User or his or her representative must communicate with a BPMC staff member of
their intention to return the package to the warehouse for storage. A User cannot
leave a package unattended and expect BPMC staff to return it to the warehouse
without the proper communication.

Use of Customer Portal

1. BPMC provides each Registered User access to a secure Customer Portal which includes
all information pertaining to Applicant’s PMB including size of PMB, due date of PMB,
calendar of events, direct communication between BPMC and User, list of all packages
received in PMB, and more.
2. Each Registered User is responsible for maintaining their personal contact information
such as address, telephone numbers, email address and payment information up-to-date
in the MY PROFILE section of the Customer Portal of BPMC website:
www.backporchmailcenter.com. Up-to-date information helps BPMC provide efficient and
uninterrupted service to its Customers.
3. BPMC is not responsible for inaccurate information input by User that may results in lack
of or delay of service.
4. BPMC reserves the right to edit or delete any existing package from a User’s Customer
Portal without prior consent.

Request for Service

1. BPMC offers a 24-hour response time during the business week for any service requested
via BPMC Customer Portal.
2. On My Way allows User to request that BPMC staff prepare packages ahead of time.
• If packages are not retrieved when User stated, a restocking fee will apply.
3. Urgent requests for service will be responded to by end of business day.
• Urgent request must be made by telephone at 965-723-3997

International Services

1. BPMC engages in the service of global importations into Mexico.
2. BPMC reserves the right to charge what is necessary to provide service based on value
and or volume of the merchandise and the fluctuating freight and fuel costs.
3. Rates can range between 15% and 25% of the value of the merchandise or based on the
volumetric rate for the service.
4. A copy of product invoice is required for high value items. However, merchandise can be
processed based of market value of the items.
5. Price includes transportation fees to Monterrey, NL.
6. User must state if they request delivery to Saltillo o a particular freight company prior to
requesting the service.
a. If a change of service is requested once the quote for shipment has been accepted,
an additional handling fee will be applied.
7. Should the requested service be declined, a restocking/repacking fee applies.
8. BPMC is responsible for items until they are delivered to Mail Center at the Back Porch,
Monterrey, NL, and only for the value provided by Applicant.
9. Should a User have a concern regarding a shipment such as the cost, damage to an item,
shortages, or missing merchandise, etc. All complaints must be reported within 15 days
after the receipt of the package in the Monterrey office or 20 days if merchandise is
shipped to the interior of Mexico.
10. Shipment to the interior of Mexico is provided by a third-party courier.
a. BPMC will insure safest travel possible and ship each item strapped.
b. BPMC is not responsible for any damage incurred while item is being transported
by Mexican courier
c. Additional freight charges apply

Expiration or Cancellation of PMB

1. Upon expiration of services, BPMC shall be responsible for holding Applicant’s mail and
packages for thirty (30) days during which time Applicant may retrieve said mail and
packages one time and one time only. A $15 retrieval fee plus $3 receipt of package
charge will apply. Additional charges may apply.
2. After this single retrieval of mail and packages, the PMB is considered cancelled.
3. After cancellation, BPMC shall mark any first-class mail received for Applicant with “Unable
to Forward (UTF)” and redeposit such mail into the USPS system.
4. All other mail will be discarded as per USPS regulations.
5. After service is discontinued or cancelled, BPMC shall not forward mail or packages to
Applicant unless Applicant requests the service in advance and pays for such service
including the postage or shipping charges required.
• USPS will not accept forwarding orders from a previous customer of a Private
Mailbox business
• It is the responsibility of Applicant to notify each correspondent or suppliers of new
change of address after cancelation.
• Applicant must make each change of address individually.
6. BPMC will not be responsible for any packages and/or mail remaining in Applicant’s PMB
after termination or cancellation. Remaining packages will be placed in General Delivery
with the designation of R-00. This service is provided to Occasional Package Recipients
and is charged at $8 per package plus storage for a maximum charge of $15.00 per
packages.
7. Applicant will no longer have access to the Customer Portal.
8. BPMC is not responsible for packages that arrive in the Applicant’s name to a previously
rented PMB after the termination of Applicants contract.
9. If a package arrives after the cancellation of a PMB, those packages will be placed in
General Delivery with the designation of R-00.
10. Packages that arrive after the cancellation of a PMB will be held for a maximum of three
(3) months in General Delivery.
11. After (3) months of cancellation, any remaining unclaimed packages are now considered
abandoned and become the property of BPMC.

Proprietary Statement

All information contained in this document, any attached materials, and any information found
on BPMC website, www.backporchmailcenter.com, are the sole property of BPMC and are not to
be used by you other than to evaluate BPMC’s service. This document, any attached materials,
and any information found on BPMC website are not to be disseminated, distributed, or otherwise
conveyed throughout your organization to employees without a need for this information or to
any third parties without the express written permission of BPMC.
• BPMC reserves the right to refuse service to anyone.
• BPMC Agreement of Terms and Conditions and pricing structures are subject to change
without notice.
